These Terms of Service ("Terms") are a binding agreement between you and Crony (Pty) Ltd, trading as Crony ("Crony", "we", "us", "our"), governing your access to and use of the Crony mobile application, the website at thecronyapp.com, and all related services (together, the "Platform").

By creating an account, making a payment, or otherwise using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

Crony is the seller of its own products (subscriptions and in-app purchases) and is responsible for those services, their customer service, refunds and dispute resolution. Charges may appear on your statement as "CRONY" or "THE CRONY APP".

For third-party events (clause 4), the host or performer is the seller of the event and is responsible for delivering it and for refunds. Crony provides the listing, promotion and ticketing service. We will always tell you before you pay who you are buying from, and we will help you resolve any problem either way.

Our Privacy Policy, Refund Policy, and Cancellation Policy are incorporated into and form part of these Terms.

Payment data is processed outside South Africa. Payment data and personal information may be transferred to, processed and stored outside South Africa by our payment provider and other service providers. See clause 12 of our Privacy Policy.

1. What Crony is and what you can pay for

Crony is a location-based social, networking and events discovery platform. Payments on the Platform fall into two kinds, and we always tell you which applies before you pay.

All features, inclusions and prices applicable to a purchase are described at the point of sale before you confirm payment.

Availability: the Platform is in development and none of these features is live yet. Each will operate only once enabled and announced on the Platform. Crony's own products will launch first; the third-party event features will follow at a later phase.

1.3 Collaborator programme (Collabs)

The collaborator programme on collabs.thecronyapp.com may be offered before the Crony app is generally available to the public. Commission and other collaborator payouts are only due, and will only be processed, from the date the Crony app is made generally available in the relevant market ("App Launch"). Reserved codes, pitches, kits, and other pre-launch activity do not create a right to payment before App Launch. After App Launch, payouts are processed via Paystack in accordance with the collaborator agreement presented to you. We may change, pause or discontinue the programme before App Launch.

1.1 Delivery and fulfilment

Everything sold on the Platform is a digital service or digital access right. No physical goods are sold or shipped, so no shipping charges or postal delivery apply.

1.2 What Crony is not

Crony is not a bank, financial services provider, or financial advisor, and does not provide payment services to third parties. Where you pay for a third-party event (once those features are enabled), our payment provider splits the payment at the point of payment between the host or performer and Crony's disclosed service fee.

2. Eligibility and your account

You must be at least 18 years old and have full legal capacity to contract. You agree to provide accurate, current and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at support@thecronyapp.com of any unauthorised use.

One account per person, unless we expressly permit otherwise. We may refuse, suspend, limit or close accounts at our discretion where these Terms or applicable law require it.

3. Payments, pricing and taxes

Payment processing. All payments are processed by Paystack. By transacting, you also agree to Paystack's applicable terms. We do not collect or store your full card details.

Authorisation. By submitting a payment, you confirm you are authorised to use the payment method and authorise us (via Paystack) to charge the full amount, including applicable taxes and disclosed fees.

Currency. All transactions are processed in South African Rand (ZAR), and the price and currency are displayed before you confirm payment. If your card is denominated in another currency, your bank or card issuer may apply its own conversion rate and fees, over which we have no control.

Taxes. Prices are inclusive of South African VAT where applicable and where we are registered for VAT. You are responsible for any other taxes, duties or levies arising in your own jurisdiction.

Recurring billing (important). Subscriptions renew automatically at the end of each billing period (monthly or annual, as selected) at the then-current price, and continue until cancelled. You may cancel at any time in the app under Account → Subscription → Cancel Subscription, or by emailing support@thecronyapp.com. See our Cancellation Policy. We will give you reasonable advance notice of any price change, and you may cancel before it takes effect.

Failed payments. If a payment fails, we may retry it and may suspend paid features until payment succeeds.

4. Third-party events: hosts and performers

(Applies once event and tipping features are enabled.)

5. Refunds and cancellations

Refunds are governed by our Refund Policy and cancellations by our Cancellation Policy, each of which forms part of these Terms. Nothing in these Terms limits any right you have under the Consumer Protection Act 68 of 2008 or the Electronic Communications and Transactions Act 25 of 2002.

6. Acceptable use

You agree not to:

We may investigate suspected breaches and may suspend or terminate access, remove content, adjust or suspend a host's or performer's participation in future splits, recover amounts owed to us under their agreement, reverse transactions, and report unlawful conduct to the authorities.

7. Safety

Crony includes safety features and prohibits the sale of any feature that would compromise them. Paid features never expose real-time precise location, home address or exact check-in timing. You remain responsible for your own safety when meeting people or attending events. Crony does not conduct criminal background checks on all users and does not guarantee the identity, conduct or suitability of any user, performer, host or attendee.

8. Events and user interactions

(Paid ticketing applies once event features are enabled.)

Events are listed and organised by hosts and performers, who set their own prices and are the sellers of those events. Crony provides the listing, promotion and ticketing service.

We do not control and cannot warrant the running of an event: its content, artistic quality, venue conditions, or the host's compliance with law. Attendance and your interactions with other users are at your own risk and subject to any applicable venue rules. Where an event is cancelled or materially changed, see clause 4 and our Refund Policy for how refunds work.

9. Content and intellectual property

The Platform, its software, design, trade marks and content (excluding user content) are owned by or licensed to Crony and are protected by law. You may not copy, modify, distribute or create derivative works from them without our written permission.

You retain ownership of content you submit. You grant Crony a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt (for formatting) and display that content as reasonably necessary to operate and promote the Platform. You confirm you have the rights to grant this licence. We may remove content that breaches these Terms.

10. Third-party services

The Platform may link to or integrate third-party services (including Paystack and mapping providers). We do not control and are not responsible for third-party services, and your use of them is governed by their own terms and privacy policies.

11. Availability and changes to the Platform

We aim to keep the Platform available but do not guarantee uninterrupted or error-free operation. We may modify, suspend or discontinue features. Where we permanently discontinue a paid feature you have prepaid for, we will refund the unused portion or provide a reasonable equivalent.

12. Disclaimers

To the maximum extent permitted by law, the Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Platform will meet your requirements or produce any particular social, professional or commercial outcome.

13. Limitation of liability

To the maximum extent permitted by law:

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or your rights under the Consumer Protection Act.

14. Indemnity

You indemnify and hold harmless Crony and its owners, employees and partners against any claim, loss, liability, damage or reasonable legal cost arising from your breach of these Terms, your content, your unlawful conduct, or your interactions with other users, to the extent not caused by us.

15. Suspension and termination

You may stop using the Platform and close your account at any time. We may suspend or terminate your access with immediate effect where you materially breach these Terms, where we reasonably suspect fraud or unlawful activity, or where required by law or by our payment provider or applicable card scheme rules. Where we terminate without cause, we will refund amounts prepaid for services not yet provided. Clauses that by their nature should survive termination (including clauses 9, 12, 13, 14 and 17) survive.

16. Changes to these Terms

We may update these Terms. We will post the updated version with a revised "Last updated" date and, for material changes, provide reasonable notice through the Platform or by email. Changes are not retrospective. The version in force at the time of your transaction governs that transaction. Continued use after the revised "Last updated" date constitutes acceptance; if you do not accept, stop using the Platform and cancel any subscription.

17. Governing law, disputes and complaints

These Terms are governed by the laws of the Republic of South Africa. You and Crony submit to the non-exclusive jurisdiction of the South African courts, and (where monetary jurisdiction allows) the Magistrates' Court.

Please contact us first at support@thecronyapp.com. We aim to resolve complaints within 10 business days. Most issues are resolved quickly and without cost to you.

18. General

These Terms, together with the policies incorporated into them, are the entire agreement between us. If any provision is found invalid or unenforceable, the rest remains in force. Our failure to enforce a provision is not a waiver of it. You may not cede or assign your rights without our written consent; we may cede or assign ours on reasonable notice, provided your rights are not prejudiced. Notices to you may be sent to the email on your account; notices to us must go to support@thecronyapp.com.
